Reliant Referral Program – Terms and Conditions

Reliant Energy Retail Services, LLC and its affiliates (collectively, “Reliant”) maintain this Referral Program. By participating in the Reliant Referral Program, you agree that you have read, understood, and agree to be bound by these Terms & Conditions.

I. ELIGIBILITY & REGISTRATION

Registration in the Reliant Referral Program ("Referral Program") is voluntary and open to licensed Texas real estate agents at least 18 years of age who create an account and provide and maintain a working e-mail address. By registering for the Referral Program, you represent that you are at least

18 years of age or older, are currently and will continue to be a licensed Texas real estate agent throughout your participation in the Referral Program, agree to be bound the Terms & Conditions then in effect, and authorize Reliant to contact you by telephone, email address, mobile number you entered using automated telephone technology including auto-dialers and text messages, even if your telephone number or mobile number is currently listed on any state, federal, or corporate “Do Not Call” list. Your participation in the Referral Program is based upon providing Reliant with potential leads for energy services or other home services (e.g., cable, internet, phone). Your participation in the Referral Program is nontransferable and is subject to the then current Referral Program Terms & Conditions. Your participation in the Referral Program is valid only at reliant.com/refer. Your participation in the Referral Program begins after you register at reliant.com/refer. Upon initial login, you may change your personal password.

II. METHOD OF COLLECTING REFERRALS

You acknowledge and agree that alerting residential consumers to additional energy and home services that Reliant provides or arranges is a form of marketing that requires compliance with various laws, including but not limited to the Federal Telephone Consumer Protection Act (47. U.S. C. §277, as amended), the federal Telemarketing and Consumer Fraud and Prevention Act (15 U.S.C. §§6101-6108, as amended), the Do Not Call Implementation Act of 2003 (15 U.S.C. §§6151-6155, as amended), and any state or local laws or regulations (collectively, the “TCPA Rules”). You further acknowledge and agree that the method of compliance with the TCPA Rules is triggered by how you interact with the consumers, as further described hereinafter. Sending text message about the Referral Program to consumers is strictly prohibited.

A. Reliant Mover Concierge Call Center. You may provide consumers with Reliant’s telephone number of your dedicated Reliant sales representative so consumers can make an inbound call to such sales representative. You may provide Reliant’s telephone number to consumers in the following ways: 1) verbally; 2) in an email; 3) in a paper document that has been pre-approved by Reliant.

B. URL Consumer Webform. You may share with consumers a consumer-facing URL https://leads.nrg.com/consent that consumers may use to enter their contact information and provide consent for Reliant to contact them. You may provide Reliant’s consumer- facing URL to consumers in the following ways: 1) verbally; 2) in an email; 3) in a paper document that has been pre-approved by Reliant. You also agree that you will not enter any consumer information on this URL yourself.

III. INDEMNIFICATION

By participating in the Referral Program, you agree, at your own expense, to indemnify, defend and hold harmless, Reliant and its affiliates, and each of their employees, representatives, directors, officers, and agents, (“Indemnified Parties”), against any claim, suit, action, or other proceeding brought against any Indemnified Party based upon or arising from a claim that: (a) any advertising or sales promotions by you is deceptive or violates applicable law; (b) involves any bodily injury, death, or damage to or loss of property; (c) arises from any third party claims, fines, penalties, judgments, or causes of action for violation of any law or regulation based upon your failure to obtain the consent required in Section II of these Terms & Conditions as required by the TCPA Rules.

IV. MODIFICATIONS

Reliant reserves the right to modify the information contained on this website or these Terms & Conditions at any time without notice. You are responsible for reviewing these Terms & Conditions on this website. Accessing this website after any changes to these Terms & Conditions have been posted thereon will constitute your acceptance of all such changes. Unless specifically stated otherwise, any new features, products or services added to the website are subject to these Terms & Conditions.

V. COMMUNICATIONS & ACCOUNT INFORMATION

Communications about the Referral Program will primarily be electronic using e-mail, text message communications (applicable data rates may apply) or posted on the Referral Program website. Reliant is not responsible for communications lost due to change of address, change of e-mail address, change of phone number, or other changes to your contact information. You may view your account activity online on the Referral Program website. When you visit this website or send emails to us, you are communicating with us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. For information about your account, contact the Reliant Referrals Program by visiting reliantreferrals.online-rewards.com/help/ or by contacting your dedicated Reliant sales representative.

VI. PROMOTIONS

From time to time, Reliant may, at its sole discretion, sponsor promotions intended to promote participation in the Referral Program. In such promotions, Reliant may issue a code to you that you can redeem on Reliant Referral Program website. Typically, such promotions afford you an opportunity to win points. Other restrictions or exclusions may apply. Promotions are subject to change without notice and may be terminated at any time, without notice. Points deposited into your account as a result of a promotion have no cash value. You cannot give or transfer your points or tokens to anyone else.

VII. WHEN POINTS ARE EARNED

A. Electricity Points. Excluding foreclosures, temporary properties, and short-sale properties, you will earn points for each electricity referral that you provide to Reliant that is accompanied by a consent from the consumer that complies with the TCPA Rules. If the referral you provided to Reliant results in the consumer becoming a residential customer of Reliant, then you will earn additional points that consumer begins to receive electricity services from Reliant. The number of points you will earn are described in the Table. VII. B.

Reliant reserves the right to award additional points in its sole and absolute discretion. Points are not transferable and may only be used by the participate to whom Reliant issued the points. Point values are subject to change without notice.

C. Home Security Points. You will earn points for each home security referral that results in an installed home security system that you provide to Reliant that is accompanied by a consent from the consumer that complies with the TCPA Rules. If the referral you provided to Reliant

results in the consumer receiving home security services, then you will earn the points described in Table VII. C.

VIII. HOW TO REDEEM POINTS; CLAIMING A REWARD

Points earned are redeemable for the merchandise of your choice in the On-Line Catalog. Points will be available for redemption in your personal account in the Referral Program. Points earned can only be used for merchandise purchases in the On-Line catalog. Reward Points have no monetary value except to the extent specifically provided for by a reward. Unless noted otherwise, points will expire if: a) you have not logged into your account in 18 months; b) you are terminated from the Referral Program; or c) have deactivated your account. You will forfeit any Reward Points that are not redeemed before termination or account deactivation. Reliant reserves the right to modify the merchandise available in the On-Line Catalog at any time and without advance notice. When you have obtained enough points, you may redeem an item(s) from those described in the On-Line Catalog. Specific merchandise is subject to availability and substitutions may be made based on availability or market conditions.

IX. TAXES

Merchandise redeemed under the Referral Program is subject to applicable federal, state and/or local taxes. Payment of taxes resulting from these awards your sole responsibility and not Reliant or any of its affiliates or agents. Reliant will report earnings under the Referral Program in accordance with federal, state, and local regulations.

X. SHIPPING AND HANDLING

Merchandise redeemed under the Referral Program is subject to shipping and handling charges. The shipping and handling charges are included in the point value associated with each item in the On- Line Catalog and are represented in the overall value of the item.

XI. NON-QUALIFYING REFERRALS

There are certain addresses that Reliant cannot service electricity to in Texas. If an address is not serviceable you will still earn the 25 points for the referral.

XII. RELIANT REFERRALS PROGRAM ACCOUNT - CANCELLATION AND TERMINATION

A. Discontinuation or Changes. Reliant reserves the right, without prior notice, to discontinue or change the Referral Program and/or terms and conditions at any time. All point values are subject to change. If the Referral Program is suspended or terminated, any unredeemed Referral Points must be redeemed within one month of the date of termination.

B. Questions and Disputes. All questions or disputes regarding eligibility for this Referral Program, the eligibility of rewards, the availability of rewards or points, or terms and conditions of the Referral Program will be resolved by Reliant at its sole discretion. You may cancel your account at any time by notifying the Reliant Referrals Program by submitting the “Help Request” form online. Cancellation may take from 3 to 5 business days to finalize. Upon cancellation, your account will be deactivated.

C. Account Cancellation or Deactivation. If your account is cancelled or deactivated, you will not receive the point to cash equivalent for unredeemed points. Points have no cash value. Any remaining points will be forfeited. If you cancel your account or if your account is terminated, all personal information - including your Social Security Number, street address, email addresses and all other information tied to your account - will be removed from the website and permanently erased from our records in compliance with applicable law.

D. Restriction, Suspension, and Termination. Reliant may restrict, suspend, or terminate your access to the Referral Program and/or your ability to avail of any of the services on the websites, if we believe that you have breached these Terms and Conditions at any time without advance notice. Any such restriction, suspension, or termination will be without prejudice to any rights that we may have against you with respect to your breach of these Terms & Conditions. We may also remove the website as a whole or any sections or features of the website at any time.

XIII. CONFIDENTIALITY; DATA SECURITY

You are responsible for maintaining the confidentiality of your Referral Program account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

XIV. PRIVACY POLICY

This website is housed and operated by Whapps, LLC dba Online-Rewards (“Online-Rewards”) on behalf of Reliant. The information collected on this web site (Social Security Number, street address, and other personal information) will only be used by Reliant.

XV. GENERAL

These Terms & Conditions are governed in all respects in accordance with the laws of the State of Texas without regard to the conflict or choice of law rules thereof. The courts sitting in the state of Texas, federal and state have exclusive jurisdiction over any dispute arising hereunder. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Reliant as a result of this agreement or use of the website. If any part of these Terms & Conditions is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement will remain in effect. A printed version of these Terms & Conditions and of any notice given in electronic form will be admissible in judicial or administrative proceedings based on or relating to these Terms & Conditions, to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

XVI. TRADEMARKS & COPYRIGHT

The trademarks, service marks, logos, taglines, and any intellectual property rights embodied

therein are the property of Reliant Energy Retail Holdings, LLC. Unless otherwise stated herein, none of the materials on this website may be copied, reproduced, modified, distributed, sold, broadcast, stored, or otherwise used without the express permission of Reliant or the original copyright holder. You may display and print materials available on this website solely for your personal, non- commercial use, provided that you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. Unauthorized use of materials contained on

this site is expressly prohibited by law and may result in severe civil and criminal penalties.

The materials specified above do not include the design and layout of the website. Elements of this website are protected by trade dress and other laws and may not be copied or imitated, in whole or in part.
